Terms and Conditions of Service

These Terms and Conditions govern access to and use of the Lovvai SaaS platform, developed and operated by DISINDEX S.R.L. (Via Renzo e Lucia 9, 20142 Milan, Italy, VAT IT11611310969, REA MI-2614128, email: info@disindex.com). Accessing and using the services constitutes full and binding acceptance of these terms.

1. Neutral Technological Role, Prompt Autonomy & Input Warranties

Lovvai is a software-as-a-service (SaaS) photo editing and synthetic generation platform that provides a neutral technological infrastructure via automated API calls to third-party generative models. In features equipped with an open text field (including Photo Studio), DISINDEX S.R.L. does not suggest, pre-configure, catalog, or encourage the generation of specific third parties or public figures (celebrities, athletes, actors, politicians, or institutional figures), nor does it exercise preventive editorial monitoring over user text prompts (Art. 8 EU Reg. 2022/2065 - Digital Services Act). The User acts as the sole author, creator, and commissioning party of the prompt and its combination with uploaded photos, warranting under their sole responsibility that they hold all necessary rights and consents.

2. Acceptable Use Policy (AUP), Celebrity/Third-Party Image Rights & Prohibition of Unlawful Deepfakes

The User acknowledges that a person's likeness, even if famous or holding public office, may not be displayed, reproduced, or commercially exploited without their consent when such use is not justified by public-interest information purposes or when it harms the honor, reputation, or dignity of the depicted person (Art. 10 Italian Civil Code and Artt. 96-97 Law 633/1941); any commercial, promotional, or false-endorsement exploitation of a celebrity's likeness without authorization from the rightsholders is strictly prohibited. Pursuant to Art. 612-quater of the Italian Penal Code (introduced by Law 23 September 2025, n. 132), it is strictly prohibited and constitutes a criminal offense punishable by 1 to 5 years imprisonment to transfer, publish, or distribute without consent AI-generated or altered images capable of misleading as to their authenticity and causing unjust harm to the depicted person. Uploading or generating content involving minors, non-consensual sexually explicit material (NCII), defamation, extortion, fraud, or electoral disinformation is also strictly prohibited.

3. Full Indemnification Clause & Limitation of Liability (Artt. 1341-1342 Italian Civil Code)

The User (whether a B2C consumer or B2B professional client) assumes full and exclusive civil, criminal, and administrative liability for every uploaded image, every text prompt entered, and any subsequent use, sharing, publication, or commercialization of the generated outputs. The User expressly agrees to indemnify, defend, and hold completely harmless DISINDEX S.R.L., its directors, shareholders, employees, and technology providers from any claim for damages (pecuniary and non-pecuniary, including dilution of commercial image value or infringement of exclusivity rights), injunctive action, administrative fine, or legal expense brought by any third party (including public figures, celebrities, athletes, actors, politicians, sports clubs, management agencies, or trademark owners) or competent authority arising from content generated or distributed by the User.

4. Copyright & Synthetic Output Regime (Law 23 September 2025, n. 132)

In compliance with Italian Law 23 September 2025, n. 132 on artificial intelligence and copyright (amending Art. 1 Law 633/1941), synthetic images generated by AI systems do not benefit from copyright protection reserved for human intellectual works, unless the output is the result of a prevailing and demonstrable human creative and intellectual contribution. DISINDEX S.R.L. grants the User technical usage rights to downloaded outputs within the limits of underlying API licenses, without providing any warranty regarding the commercial or editorial usability of third-party likenesses or distinctive signs included in the image at the User's request.

5. EU AI Act Transparency Obligations (Art. 50 EU Reg. 2024/1689) & External Deployer Role

Pursuant to Article 50(2) of EU Regulation 2024/1689 (EU AI Act), all files generated and downloaded from Lovvai embed machine-readable technical metadata (C2PA, IPTC, and EXIF standards) certifying their artificial origin, which the User undertakes not to remove or alter. Pursuant to Article 50(4) of the EU AI Act, if the User exports, publishes, shares on social media, or distributes to third parties an image generated on Lovvai that depicts real persons or appears authentic (deepfake), the User acts as the independent Deployer of the content and bears the exclusive legal obligation to clearly, visibly, and distinguishably disclose (via an appropriate badge or caption such as 'AI-generated image') that the image has been artificially generated or manipulated.

6. Hosting Liability Exemption (Art. 6 DSA) & Notice and Takedown Procedure (Art. 16 DSA)

With respect to the technical storage of uploaded images and outputs generated at the User's request, DISINDEX S.R.L. operates as a hosting service provider pursuant to Article 6 of EU Regulation 2022/2065 (Digital Services Act - DSA) and is subject to no general obligation to monitor user prompts or files preventively (Art. 8 DSA). Anyone who believes that content generated or hosted via Lovvai infringes their image rights (Art. 10 Italian Civil Code), intellectual property rights, or criminal laws (Art. 612-quater Italian Penal Code) may submit a substantiated report (Notice and Takedown under Art. 16 DSA) to our Single Point of Contact: info@disindex.com, specifying the content identifiers, legal grounds, and a good-faith declaration. DISINDEX S.R.L. will promptly remove or disable access to unlawful content and suspend repeat infringer accounts (Art. 23 DSA).

7. Governing Law, Jurisdiction & Specific Approval (Artt. 1341-1342 Italian Civil Code)

These Terms are governed by Italian law. Any dispute shall be subject to the exclusive jurisdiction of the Courts of Milan, without prejudice to mandatory consumer protection laws (Italian Legislative Decree 206/2005) where applicable. Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the User declares having read and specifically approved the following clauses: Art. 1 (Neutral technological role and sole responsibility for prompts), Art. 2 (Use restrictions, celebrity image rights, and prohibition of unlawful deepfake diffusion), Art. 3 (Full indemnification and limitation of liability of DISINDEX S.R.L.), Art. 5 (External AI Act labeling duty on the User), Art. 6 (Content removal and account suspension under DSA), and Art. 7 (Exclusive jurisdiction of Milan).
